Terms of Service

1. Services

We provide professional services including: product management & product operations, revenue & financial operations, technical/ERP consulting for small businesses, contract software & AI application development, and 1:1/group coaching.

2. Proposals, SOWs, and change

Engagements are governed by mutually agreed proposals or statements of work (SOWs) describing scope, timelines, fees, and assumptions. Changes require written approval and may adjust scope, fees, and timelines.

3. Fees, invoicing, and taxes

• Fees and billing schedules are set in the applicable proposal/SOW.
• Late balances may incur reasonable charges or suspension.
• Applicable taxes (e.g., sales/use/VAT) are your responsibility unless stated otherwise.
• Tenant payments use Stripe; we do not store card/bank details. Disputes are handled under Stripe policies and law.

4. Client responsibilities

• Provide accurate information, timely access to systems/people, and a decision maker.
• Ensure rights to share materials/data; remove/anonymize sensitive data unless agreed in writing.
• Use the site/services lawfully; no unauthorized access or security testing.

5. Confidentiality

Each party will protect the other's confidential information and use it only for the engagement. We may share anonymized learnings and company‑neutral templates.

6. Intellectual property and templates

We retain rights to pre‑existing materials, templates, tools, and know‑how. Upon payment, you receive a non‑exclusive, non‑transferable license to use delivered artifacts internally. Our proprietary templates (product management, BSA, financial/revenue/accounting/sales/customer success ops) are company‑neutral and exclude employer IP. Third‑party components remain under their own licenses.

7. Open‑source and third‑party services

We may use reputable open‑source and third‑party services (e.g., Stripe, hosting, analytics, AI APIs). Their terms and privacy policies apply. We provide reasonable guidance on compliance but do not control those services.

8. AI and data usage

We do not use your confidential inputs to train AI models without explicit permission. We may use anonymized patterns to improve our templates and delivery processes.

9. Coaching disclaimers

Coaching is not therapy, legal, medical, or financial advice. You remain responsible for decisions and outcomes.

10. Warranties and disclaimers

Services are provided “as is.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim is limited to fees paid for the specific engagement giving rise to the claim.

12. Indemnity

You agree to indemnify and hold us harmless from claims arising from your misuse of the site or services, violation of these Terms, or infringement of third‑party rights.

13. Non‑solicitation

During the engagement and for 12 months after, you agree not to directly solicit employment of personnel who worked on your engagement without our written consent.

14. Compliance and data protection

We implement reasonable security measures (parameterized queries, input validation, access controls) and follow applicable privacy laws. You remain responsible for your systems, data sources, and regulatory obligations.

15. Force majeure

Neither party is liable for delays or failures due to events beyond reasonable control (e.g., natural disasters, outages, labor disputes).

16. Termination

Either party may terminate for material breach not cured within a reasonable period. Accrued fees remain due. Upon termination, each party returns or deletes confidential information per the agreement.

17. Governing law and venue

California law governs, excluding conflict-of-law rules. Venue lies in California courts.

18. Changes

We may update these Terms; continued use constitutes acceptance.
